      The terms of working together.

      01

      About these terms

These terms explain use of the Amanah Studios website and our approach to business and organizational service engagements. Each paid engagement requires a written service agreement identifying the provider’s and client’s legal names, authorized representatives, scope, dates, fees, and responsibilities.

Service provisions on this page form part of an engagement only where the signed agreement expressly incorporates this dated version. The signed agreement and its approved amendments control any conflict with this overview, subject to applicable law. Browsing this website does not enroll you in a paid service. Updating this page does not amend an existing client agreement.

      02

      Website use

You may browse this website and contact Amanah Studios for lawful business purposes. Do not interfere with the site, attempt unauthorized access, or use automated methods in a way that disrupts the service.

      03

      Content and intellectual property

Unless otherwise stated, the site, identity, writing, design, software, and original project presentation are owned by Amanah Studios or used with permission. You may not reproduce or republish them for commercial use without written permission.

      Editorial information

Research papers and service information are general educational resources. They are not legal, financial, accounting, security, or other regulated professional advice, and they do not guarantee a particular business outcome.

      06

      Project inquiries

Emailing, calling, or booking a consultation does not create a client relationship. An engagement begins only after both parties approve a written agreement defining scope, timing, fees, and responsibilities.

      07

      Monthly service agreements

Monthly services require a 12–24 month agreement (minimum 1 year; maximum 2 years). This requirement applies across service types and pricing tiers. The written agreement states the exact commencement and end dates, including when delivery, ongoing care, and billing begin.

The agreed setup fee and monthly payments together cover the full agreed service price, including the cost of labor for initial delivery and ongoing care. Spreading this price over the agreement term reduces the upfront payment burden and funds the general upkeep, maintenance, and routine updates necessary for responsible delivery throughout the term.

The exact term, scope, setup fee, monthly payments, and total price for the agreed term are confirmed in the written service agreement before work begins. Monthly billing is a payment schedule, not a month-to-month commitment. Any renewal or early termination is governed by that agreement. Additional work and outside service charges are quoted separately where applicable.

The full agreed price covers the defined scope; it is not an open-ended reimbursement of unspecified internal costs or a promise of unlimited additional work. Initial work is not free merely because part of its price is paid over time.

      08

      Scope, delivery, and changes

The service agreement identifies deliverables, included locations or assets, dependencies, exclusions, review periods, and acceptance criteria. We perform agreed services with reasonable care and skill. Clients review delivered work and identify material departures from the agreed criteria so that we can investigate and correct them. Silence alone does not constitute acceptance under these terms.

Additional work, changes to capacity, and changes to fees or dates require written approval by authorized representatives before that work begins. A plan change or added location does not automatically restart the existing agreement term. Any changed commitment must state its dates and price expressly.

      09

      Fees and payment schedules

Before work begins, the signed agreement specifies the initial delivery price, the setup payment credited against it, any balance paid in installments, ongoing-care charges, payment due dates, and the total scheduled price for the term. It also specifies when delivery fees are earned against completed work or milestones. The setup payment is not counted twice, and invoicing or collecting a payment does not by itself make it earned.

Clients pay correctly invoiced amounts when due. Any taxes, outside charges, or approved additional work are identified separately. Interest, late fees, collection charges, or surcharges apply only if expressly agreed and legally permitted. Good-faith billing disputes should identify the items in question; undisputed amounts remain payable. This process does not limit statutory dispute rights.

Automatic payment collection requires valid authorization covering the payment method, amounts or calculation, and timing. Payment authorization is separate from the service commitment. Revoking authorization does not by itself cancel amounts lawfully owed, but an outstanding balance does not authorize continued debits after authorization has ended. Applicable payment and dispute rights remain in place.

      10

      Maintenance and support

Ongoing care is part of responsible delivery. The service schedule defines the assets maintained, routine updates, request capacity, support channels and hours, response targets, planned maintenance, incident handling, and any backup or restoration responsibilities. We remain responsible for the maintenance expressly included in that scope.

Response targets do not guarantee resolution within the same period. Unlimited changes, continuous monitoring, uninterrupted operation, complete security, search rankings, or financial results are not implied. Major redesigns, new capabilities, substantial catalog preparation, and new connections require a separate agreed scope where they are not already included.

      11

      Client responsibilities

Clients provide timely access, accurate records, approvals, lawfully usable content, and an authorized contact. Clients remain responsible for their business decisions, operating records, and permissions required for their activities. We identify material dependencies and explain when missing information affects progress.

Any resulting schedule adjustment or additional charge must be agreed. Client delay does not automatically extend the term or authorize new fees. These responsibilities do not excuse our failure to perform our own agreed work.

      12

      Outside services and charges

The signed agreement identifies responsibility for domains, hosting, accounts, and outside platforms, including which charges are included and which are separate. Any additional charge or markup must be disclosed and agreed. Outside services remain subject to their own applicable terms and licenses.

If an outside service materially changes or becomes unavailable, we will notify the client and discuss a reasonable workaround or written scope adjustment. Unavailable work is not automatically treated as completed. An outside dependency does not remove our own agreed responsibilities; unresolved performance issues are handled under the service agreement.

      13

      Expiry and renewal

Under these terms, a fixed-term engagement ends on its stated end date unless both parties agree a written renewal identifying the services, price, and new term. Silence, continued discussions, or a stored payment method do not create an automatic renewal. Any different renewal arrangement must be expressly included in the signed agreement and comply with applicable notice and consent requirements.

The 24-month maximum applies to each agreed monthly-service term, not the entire lifetime of the client relationship. Renewal does not itself justify charging again for implementation already paid for. New work must be identified and priced separately.

      14

      Suspension and early termination

A fixed term does not create a general monthly termination-for-convenience right. Early exit, notice, and cure arrangements are stated in the signed agreement, subject to applicable law. Either party may terminate for the other’s material breach in accordance with that agreement after the required notice and opportunity to cure. Rights concerning a breach that cannot be cured remain subject to applicable law. The parties may also agree an early exit in writing.

We may suspend affected services where reasonably necessary to address a material security threat, unlawful use, or an uncured failure to pay undisputed amounts. Except where urgent action is needed, we give the agreed notice and an opportunity to resolve the issue. Suspension must be proportionate, with prompt communication and restoration when the issue is resolved. It does not automatically extend the term or make unperformed work earned.

Requests to end services must be acknowledged and handled promptly. Explaining a fixed-term payment obligation does not permit obstruction of cancellation rights provided by law. Termination caused by our material breach is not automatically treated as a voluntary early exit by the client.

      15

      Final payments and refunds

On termination or expiry, we provide an itemized account of earned delivery fees, credited installments, accrued care charges, approved noncancelable outside commitments, and unused prepayments or credits. Clients remain responsible for amounts lawfully due for conforming work delivered and services properly provided, subject to applicable remedies and the signed agreement.

An earned but unpaid delivery balance remains subject to the agreed payment schedule unless an express, lawful agreement provides otherwise. These terms do not automatically accelerate that balance or make every remaining maintenance payment due. Charges for future maintenance do not become earned solely because the engagement ends. Prepayments for unearned work are credited or refunded in accordance with the signed agreement and applicable law.

Neither party waives lawful remedies for breach. Any damages claim must avoid duplicate recovery and account for mitigation or avoided costs where required by law. These website terms impose no preset early-termination penalty.

      16

      Client work, ownership, and handover

Each party retains its pre-existing materials, and clients retain ownership of their content and records. The signed agreement identifies commissioned deliverables, whether ownership is assigned or a license is granted, when those rights take effect, and related payment conditions. Reusable components and outside materials are identified with the licenses needed to use the deliverables. Payment alone does not transfer rights that we do not own.

Handover follows the agreed schedule for client-owned accounts, credentials, records, exports, and entitled deliverables. Any additional migration assistance is scoped and priced before work begins. Client records do not become our property as security for payment. Retention and deletion arrangements must account for lawful retention and any disclosed secure-backup limitations.

      17

      Confidentiality and data protection

Each party protects the other’s nonpublic business information with reasonable safeguards, uses it only for the engagement, and limits access to people who need it and have appropriate confidentiality obligations. Information lawfully public, independently developed, or lawfully obtained without restriction is excluded. Required legal disclosures are permitted, with notice where lawful.

Before handling personal or sensitive information, the parties agree relevant permissions, safeguards, access controls, service-provider responsibilities, backup arrangements, incident communication, retention, and deletion. Any specially regulated information, including student, health, or payment-card information, requires appropriate review and any necessary agreement before access is granted. These terms do not waive mandatory security or notification duties.

Our Privacy Policy explains how we handle information across our website, inquiries, bookings, project delivery, and ongoing services. Client-service data responsibilities are addressed in the signed service agreement and any applicable data-protection schedule.

      18

      Responsibility, interruptions, and disputes

Our reasonable-care-and-skill obligation and express service commitments remain in place. A statement that commercial outcomes or uninterrupted operation are not guaranteed does not excuse failure to perform agreed services. Any liability limits, claim procedures, or indemnities must be expressly set out in the signed agreement and legally permitted. These website terms do not create a blanket exclusion of liability or waive rights that cannot lawfully be waived.

A party affected by events beyond its reasonable control should notify the other promptly and take reasonable steps to reduce the impact. An interruption does not automatically make undelivered work billable or erase payment lawfully earned. Extended interruptions and any change to scope or timing are handled under the signed agreement.

Disputes should first be raised with the designated representatives for good-faith discussion. This does not prevent urgent relief or override legal deadlines. Governing law, venue, and any additional dispute process are specified in the signed agreement; a client’s mandatory legal protections remain applicable.

      19

      Notices and agreement updates

Formal notices use the addresses and receipt methods in the signed agreement, subject to any method required by law. Routine support messages do not change scope, price, or term without authorized written approval. A general email arrangement does not replace a legally required notice method.

Each party should retain a reproducible copy of the signed agreement, its incorporated terms, and approved amendments. Electronic signatures may be used where legally permitted. We may revise this website reference, but changes to an existing engagement require the approval process in its signed agreement and any applicable legal notices or consent.

      20

      Availability and third-party services

We work to keep the site accurate and available, but information may change and uninterrupted access cannot be guaranteed. Links and services operated by third parties remain subject to their own terms and policies.
